Company formation
Business Setup and Company Formation in Saudi Arabia
The structure you choose at the start determines what you can do later: which activities you may carry out, how you may be owned, how profits move, how many employees you can sponsor, and how easily you can change direction.
Changing it afterwards is possible but expensive. Getting it right first is the cheaper option.
Who this service is for
- Foreign companies establishing a subsidiary or branch in Saudi Arabia
- Entrepreneurs incorporating a new Saudi entity
- Joint ventures between Saudi and foreign partners
- Existing entities restructuring, adding activities or changing ownership
Entity structures
- Limited Liability Company (LLC)
- The most common structure for foreign investors. Suits most commercial and professional activities, and can generally be wholly foreign-owned where the activity permits.
- Branch of a foreign company
- An extension of the parent rather than a separate legal entity. Suits companies wanting a direct presence, often for contracting or project delivery. The parent's standing and documentation carry more weight here.
- Joint stock company
- Suits larger operations, certain regulated activities, and structures anticipating external investment. Higher governance requirements.
- Other forms
- Additional structures exist for specific circumstances, including professional companies and structures within special economic zones. We will tell you if one fits your case better.
What Peregrine coordinates
- Structure and activity review
- Matching your intended operations to an entity form and an activity classification that will still work in two years.
- Name reservation and constitutional documents
- Trade name reservation and preparation of the Articles of Association or equivalent.
- Parent-company documentation
- Identifying exactly which documents your parent company must produce and the attestation chain each must follow. This needs to be planned early, because it is where most timelines slip.

- Bank and office readiness
- Preparing the documentation package a bank will expect, and coordinating premises requirements where your activity requires a physical address.
- First visas
- Coordinating the General Manager visa and residence permit, then the employee visa quota: see Government, PRO & Corporate Support.

Questions
Frequently asked
How long does company formation take?
It varies with structure, activity and document readiness. In our experience the controlling factors are the attestation of parent-company documents and the bank's own process.
What is the minimum capital?
It depends on the entity type and the activity. Some activities carry specific capital requirements; many do not.
Can I use a virtual office address?
Requirements depend on your activity, and some activities require genuine premises. We will not advise a structure that relies on an address you do not actually occupy.
Do I need a Saudi partner?
Full foreign ownership is permitted for many activities. Whether it applies to yours depends on the activity classification and any sector rules.
Can you help an existing company add activities or change ownership?
Yes: amendments to the CR, activity additions and ownership changes are all part of this service.
