Who this service is for

  • Foreign companies establishing a presence in Saudi Arabia
  • Individual foreign investors and entrepreneurs
  • GCC-based groups expanding into the Kingdom
  • Companies that hold a legacy foreign investment licence and need to understand their position under the current law

What Peregrine coordinates

Eligibility review
Whether your activity is open to foreign investment, whether any restrictions or additional approvals apply, and whether your company meets the conditions for registration.
Activity classification
Matching your intended operations to the correct activity, which then determines your licensing path, your visa quota and your compliance obligations.
Document preparation and attestation planning
Identifying every parent-company document required and the attestation chain each must follow. This step most often determines the overall timeline.
Application preparation and submission
Assembling and submitting the registration application, then following up.
Sequencing into incorporation
Moving cleanly from registration into trade name reservation, constitutional documents and Commercial Registration.
Connecting registration to residency
Investors and entrepreneurs frequently ask about long-term residence in the Kingdom. The Saudi Premium Residency programme includes Investor and Entrepreneur categories alongside others. We can explain how the two connect: see Business & Investor Immigration.

Typical documents required

  • Parent-company registration certificate, attested
  • Constitutional documents: memorandum and articles, or equivalent
  • Ownership and shareholding structure
  • Audited financial statements, where a track record must be evidenced
  • Board resolution approving the Saudi investment and appointing signatories
  • Passports of shareholders, directors and the proposed General Manager
  • A description of the intended activity in Saudi Arabia
  • Power of attorney where a representative will act

What commonly causes problems

The parent-company track record
Registration conditions frequently look at the parent company's history and financials. Newly incorporated overseas entities with no trading history are the most common cause of an unsuccessful application, and this can usually be identified before anyone spends money.
Attestation done late
Parent-company documents must be attested in the correct chain before submission. Started late, this alone can add weeks.
Activity misclassification
An activity chosen for convenience rather than accuracy causes problems downstream at licensing, visa and tax stages.
Restricted activities
Some activities are excluded from foreign investment or require additional approval. Checking this first avoids planning around something that cannot happen.

Questions

Frequently asked

Is the MISA licence still required?

The former licence was replaced by investor registration when the Investment Law came into force in February 2025. The commercial term persists, but registration is the current process.

Can I register as an individual investor rather than a company?

Investor categories differ, and conditions vary by category and activity. We will confirm which applies to you at the eligibility stage.

My company was incorporated last year. Can I still register?

It depends on the conditions attached to your investor category and activity. A limited trading history is a common obstacle, and it is better to identify it before you begin.

Do I need audited financial statements?

Often, where a track record must be evidenced. We will confirm the requirement for your specific case.

What happens to my existing foreign investment licence?

Existing holders should confirm their position under the current law. We can review this with you.
